1. Eligibility and application approval

Sellers must provide complete and accurate application information and any evidence reasonably requested for review. Applications are subject to review and approval; submitting an application does not guarantee acceptance or access to Seller Central. An applicant may not offer products through the marketplace unless and until the marketplace confirms approval.

Owner/legal review: Confirm seller eligibility criteria, supported territories, review process, and any grounds and process for declining an application.

2. Seller accounts and security

Sellers are responsible for keeping account details accurate, protecting credentials, limiting account access to authorised individuals, and promptly reporting suspected unauthorised access. Sellers should use account security features made available to them and remain responsible for activity carried out through their accounts, subject to applicable law and the final approved terms.

Owner/legal review: Confirm account-user rules, security requirements, and the procedure for recovering or securing an account.

3. Product listings, pricing, stock, and compliance

Sellers should ensure that listings, images, descriptions, prices, taxes or other charges shown to customers, and stock availability are accurate, current, and not misleading. Sellers are responsible for ensuring products and product claims comply with applicable requirements, including safety, labelling, authenticity, and intellectual-property requirements.

Sellers should update or remove unavailable or inaccurate listings promptly and honour the price and product information presented when an order is placed, subject to the final approved terms and applicable law.

4. Orders, delivery, cancellations, returns, and refunds

Sellers should monitor orders, prepare and dispatch accepted orders using the agreed fulfilment process, provide accurate delivery information, and respond to order issues. Cancellations, returns, refunds, and customer remedies must follow applicable law and the final marketplace policies communicated to sellers.

Owner review required: Set fulfilment models, dispatch and delivery expectations, cancellation handling, return eligibility and process, refund responsibility, and any service targets. No delivery, return, or refund period is established by these terms.

5. Marketplace fees and payment arrangements

Any fees, commissions, deductions, taxes, reserves, payment method, settlement currency, payout timing, reconciliation process, and applicable changes must be disclosed in a separate, approved fee schedule or agreement before they apply.

Owner review required: [Confirm all fees and calculation methods.] [Confirm payment provider and payment arrangements.] [Confirm payout timing, thresholds, deductions, and dispute process.] No fee rate, payout period, or payment commitment is set by these terms.

6. Prohibited products and activities

Sellers must not use the marketplace to offer products or conduct activities prohibited by applicable law or the final marketplace policies. Prohibited conduct should include misleading listings, counterfeit or unlawfully sourced goods, manipulation of reviews or orders, misuse of customer information, and attempts to bypass marketplace safeguards.

Owner/legal review: Prepare and approve the marketplace-specific restricted and prohibited products policy, including applicable jurisdictional restrictions and enforcement process.

7. Complaints and account measures

Sellers should cooperate in good faith with customer complaints, product-safety concerns, and marketplace investigations. The marketplace may need to limit listings or account access to address legal, safety, security, customer, or operational concerns, subject to applicable law and the final approved terms.

Owner/legal review: Define complaint escalation, notice, response, appeal, restriction, suspension, and termination procedures, including when urgent action may be necessary.

8. Intellectual property

Sellers retain rights they hold in their content and must have permission to provide listing content, names, images, and other materials. A limited permission for the marketplace to host and display seller-provided content may be needed to operate and promote the marketplace.

Owner/legal review: Confirm the scope, duration, territory, sublicensing, and end-of-account handling of any content licence, and the process for reporting intellectual-property concerns.

9. Liability and seller-marketplace relationship

These terms do not determine the parties’ final liability, indemnity, insurance, agency, or allocation of responsibility. Those matters must be reviewed and stated in the approved terms without excluding or limiting rights that cannot lawfully be excluded or limited.

Owner/legal review required: Confirm the marketplace operator, seller relationship, each party’s responsibilities, and legally reviewed liability provisions.

10. Disputes and governing terms

Owner/legal review required: Confirm applicable law, courts or other dispute-resolution arrangements, dispute escalation, and the process and location for resolving disputes. These terms establish no governing-law or dispute-resolution arrangement.

11. Changes to these terms

Any approved terms should identify how changes are communicated, when they take effect, and what choices sellers have if they do not agree. The process and notice periods remain for owner and legal review.

12. Contact

Seller contact: [Owner to provide an approved seller-support contact name and contact details.]

Owner review required: Confirm the legal name and address of the marketplace operator and the contact route for seller notices.
